Meta Dram Cask Verification & Tokenisation Service – Terms and Conditions

1. Definitions

• “Meta Dram” refers to the trading name of the platform operated by Meta Dram Ltd.

• “Client” or “User” refers to any individual or entity that registers for and/or uses the cask verification and tokenisation service.

• “Cask” refers to a physical cask of whisky.

• “Token” refers to a digital representation of ownership of a whisky cask or a fraction thereof, issued on the Polygon blockchain.

• “Verification” refers to the process carried out by Meta Dram to confirm ownership, provenance, and status of a whisky cask.

• “Fireblocks” refers to the digital wallet and asset custody platform used for secure blockchain transactions and wallet creation.

• “CEC Legal” refers to the legal firm partnered with Meta Dram to assist clients where legal ownership concerns arise.

2. Service Scope

Meta Dram provides a digital cask verification and tokenisation service designed to:

• Confirm the provenance and ownership status of whisky casks;

• Assign digital tokens that represent ownership of a cask or fractional share thereof;

• Record this ownership securely and immutably on the Polygon blockchain;

• Offer guidance and support to clients in the event of ownership disputes via a referral to CEC Legal.

This service is informational and administrative in nature. Meta Dram does not act as a financial advisor, legal representative, or broker.

3. Eligibility

Clients must:

• Be at least 18 years old;

• Have legal authority to register and verify the cask;

• Provide accurate, complete information regarding the cask ownership;

• Agree to submit documentation and details as requested by Meta Dram for verification purposes.

4. Verification Process

• Meta Dram will conduct a series of checks to verify ownership and provenance of the cask.

• If there is a lack of documentation, conflicting data, or other concerns, Meta Dram reserves the right to withhold verification.

• In such cases, the client may be referred to CEC Legal for further investigation.

• Verification does not constitute a legal guarantee of ownership.

5. Fees & Refunds

• Clients agree to pay the published fee for verification services.

• Fees are payable in advance and are non-refundable once the verification process has commenced.

• In cases where Meta Dram declines to proceed with verification before initiation of checks, the fee may be refunded at our discretion.

6. Token Creation & Ownership

• Upon successful verification, digital tokens may be issued to represent ownership.

• These tokens will be assigned to the client’s secure wallet via Fireblocks.

• Meta Dram does not hold or custody client assets — all wallets are controlled by the user.

• Tokens do not represent a share in Meta Dram Ltd. or any rights beyond the asset described.

7. Marketplace Access

• Verified clients may be eligible to access Meta Dram’s marketplace (upon launch).

• Meta Dram reserves the right to set eligibility requirements and approve listings.

• Tokenised assets may be listed for resale, subject to platform rules and fees.

8. Disputes & Legal Issues

• If a verification reveals potential issues in ownership or provenance, Meta Dram may refer the client to CEC Legal.

• Meta Dram is not liable for the outcome of any legal proceedings and is not responsible for the costs of any external legal services.

• Referral to CEC Legal does not constitute endorsement or guarantee of outcome.

9. Data Protection & Privacy

• Meta Dram will process personal and cask-related data in accordance with UK GDPR.

• Data will only be shared with third parties where necessary for service delivery (e.g. Fireblocks, CEC Legal).

• Clients can request access or deletion of their data as per our Privacy Policy.

10. Limitation of Liability

• Meta Dram is not liable for any loss, damage, or legal dispute arising from incorrect or incomplete ownership documentation.

• Blockchain transactions are irreversible and carry inherent risks.

• Meta Dram does not guarantee the future value or marketability of tokenised casks.

11. Termination of Service

• Meta Dram reserves the right to decline or terminate service if fraudulent activity is suspected, or if a client breaches these terms.

• Clients may discontinue use of the service at any time, however, fees already paid will not be refunded.

12. Amendments

• Meta Dram may update these Terms and Conditions from time to time.

• Clients will be notified of material changes via email or site notification.

• Continued use of the service after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
